By many, growth and venture capital investments are considered to be an adjunct of leveraged buy-outs. Our significant experience in these areas tells us that, in fact, they raise very different issues which require different solutions.
We appreciate the impact on venture capital transactions of "rounds" of investment, we understand the difficulties in funding and managing a syndicate and, unfortunately, know the value of liquidation preferences.
We have been intimately involved in the development of the specialist area of growth capital. We have devised a number of the legal concepts used in this area, have spent considerable time analysing how best to secure "influence" in the typical minority investment and have devised or seen many of the legal mechanisms that are designed to provide controls on exits.
