Brit Insurance
Advising Brit Insurance plc on its recent redomiciliation. This involved advising as to the effect of the redomiciliation on existing awards under Brit’s share schemes, drafting communications to award holders and amending each of the current schemes to reflect issues arising out of the redomiciliation and changes in best practice. We also advised it on the share scheme aspects of the recommended $1.3bn cash offer by a consortium vehicle established by Apollo and CVC.
Hogg Robinson plc
Advising Hogg Robinson Group plc on the operation of the employee share schemes we established for them at the time of their flotation, including an international SAYE scheme, which they operate in over 20 jurisdictions.
Just Retirement (Holdings) plc
Advising Just Retirement Holdings on the share schemes aspects arising on its £225m take private by Permira, including the establishment of new schemes more suited to a private equity ownership structure (the third “generation” of schemes which we have implemented for Just Retirement).
Record plc
Advising Record plc in connection with changes to the deferred bonus scheme that we established for Record plc on its flotation.
