Julian joined the firm in 1984, qualified in 1986 and became a partner in 1991. He is the chair of the firm's international practice, head of the banking and finance group and managing partner.
He was seconded to a major US firm for a year in 1989 and was the resident partner in charge of the Macfarlanes Tokyo office from 1992 to 1997.
Julian's experience encompasses acting for both lenders and borrowers in various financing and restructuring transactions, including leveraged buy outs and corporate acquisitions, as well as on public offerings and private placements of high yield and other corporate bonds.
Highlights include advising:
- Royal Bank of Scotland on numerous acquisition facilities for leveraged buyouts;
- Allied Irish Bank, Barclays Bank, HBOS, Kaupthing Bank, NAB Capital and NIBC Bank NV on various acquisition financings;
- a number of banks and companies on domestic refinancings, reschedulings, covenant re-sets and capital restructurings;
- Pernod Ricard on its $5bn debt financing for the acquisition of the Seagram drinks business; its £7.4bn debt facilities for its bid for Allied Domecq and its €15bn facilities for its acquisition of Vin & Sprit;
- Companhia Siderurgica Nacional on its $11.265bn facilities for the public takeover of Corus Group plc;
- Unipol S.P.A. on its €4.9bn facilities for the proposed acquisition of Banca Nazionale del Lavoro S.p.A.;
- Paramount Restaurants on the restructuring of its debt facilities;
- Britax on its capital restructuring which involved new debt facilities and a tender offer for its high yield bonds;
- on the restructuring and recapitalisation of Energis; and
- Alcan on the English law aspects of the spin-off and subsequent financing of Novelis, its worldwide aluminium rolled products business through a $1.8bn credit agreement and a $1.4bn high yield bond.
