Robert joined Macfarlanes in 1999 and became a partner in 2001. He advises on a broad range of corporate transactions, particularly in the public sector where he has significant experience of takeover and equity capital markets work (both primary and secondary, acting for issuers, financial advisers, shareholders and underwriters alike) as well as in private M&A transactions.
Clients include J.P. Morgan, Rothschild, Collins Stewart, Peel Hunt, Hanover Investors, LXB Retail Properties plc, Liontrust Asset Management, Hogg Robinson Group plc, office2office plc and Reliance Security Group.
Recent highlights include advising:
- J.P. Morgan on the rights issue and warrant issue by Imperial Innovations Group plc;
- Reliance Security Group Limited on its disposal of Reliance Security Services Limited to Securitas AB;
- Vallar plc on its flotation on the main London market;
- LXB Retail Properties plc on its flotation on AIM and the CISX;
- J.P. Morgan in respect of various primary and secondary equity capital markets transactions;
- General Atlantic, as a selling shareholder, on the flotation of Xchanging plc on the main London market;
- Pernod Ricard, as a selling shareholder on the flotation of Britvic plc on the main London market;
- Hogg Robinson Group plc on its flotation on the main London market;
- office2office plc on its flotation on the main London market, together with various subsequent acquisitions; and
- the Independent Directors of Reliance Security Group on its recommended acquisition by Reliance Executive Limited, an entity formed at the direction of Brian Kingham, the Chairman of Reliance.
Robert is a member of the City of London Law Society Company Law sub-committee and the securities sub-committee of the International Bar Association.
