Advising Bank of America Private Equity in relation to its sale of Paroc (a Finnish provider of mineral wool products with manufacturing facilities in Finland, Sweden, Poland and Lithuania) to Arcapita.
Syntaxis Capital Limited
Working with Syntaxis Capital Limited and Indigo Capital regarding a mezzanine facility provided to an acquisition vehicle for the acquisition of the GTS Telecom group. The acquisition vehicle was sponsored by Columbia Capital, MC Venture Partners, Innova Capital and HarbourVest Funds.
Brit Insurance
Advising Brit Insurance on the redomiciliation of its holding company to the Netherlands whilst retaining a listing on the London Stock Exchange. We subsequently advised Brit Insurance on a recommended $1.3bn cash offer by Achilles Netherlands Holdings B.V., by a consortium comprising Apollo Management VII, L.P. and CVC Capital Partners Limited.
Goldman Sachs
Assisting Goldman Sachs on its acquisition of a portfolio of 22 companies from ABN AMRO. The jurisdictional issues were very complex and we were able to persuade the European Commission that they did not have jurisdiction over the transaction. The portfolio spanned across most of continental Europe and the UK.
Next Wave Ventures
Advising Next Wave Ventures and WHEB Ventures on the acquisition of Rexam plc’s PET bottling business in Sweden, Germany and the Czech Republic.
PFB Data Centre Fund
Advising PFB Data Centre Fund on its investment in three new data centre developments in Frankfurt, Munich and Zurich, via Luxembourg and Guernsey holding vehicles.
Syntaxis Capital Limited
Advising Syntaxis Capital Limited on taking an equity stake in Etos SA, a Polish clothing retailer, and subsequent refinancing involving Abris Capital Partners. The deal involved negotiations across Poland and Luxembourg.
Texas Pacific Group Capital L.P.
Advising Texas Pacific Group Capital L.P. on the UK pensions aspects of its $5bn acquisition of the IMS Health group. This was the largest private equity deal in the world in 2009.
Whitbread Plc
Advising Costa Limited (a wholly owned subsidiary of Whitbread Plc) on its public bid for coffeeheaven international plc for £36m. coffeeheaven operates shops in the Czech Republic, Lithuania and Poland.
International corporate
Acting for an international corporate client, a leading hotel operator, on the acquisition and financing of nine Hilton Hotels across Europe.
DDB Europe
Advising DDB Europe (which is part of the Omnicom Group) on its acquisition of majority stakes in two advertising agencies in Turkey.
