Advising Arnoldo Mondadori Editore on the acquisition of the French consumer magazine division of Emap plc for €550m.
D.C. Thomson & Company Limited
The acquisition by brightsolid (part of the D.C. Thomson group) of Friends Reunited from ITV involved an in-depth investigation by the Competition Commission into online genealogy. Despite the merger reducing the number of significant competitors in the market from three to two, we secured unconditional clearance from the Competition Commission.
DAS Europe
Advising DAS Europe (part of the Omnicom Group) on its acquisitions of, amongst others, Flamingo, the Works, G Plus, The Russell Organisation, Weapon 7, Excerpta Media and The Core.
DDB Europe
Advising DDB Europe (part of the Omnicom Group) on a number of acquisitions including Synergy Medical Communications in the UK, majority interests in Brandcom Middle East in Dubai, Tarek Nour in Egypt, STV in Italy and DDB Turkey in Turkey.
Durrants
Acting for Durrants on its acquisition, from a listed Swedish company, of one of its leading competitors in the UK press cuttings industry.
International Management Group
Acting for International Management Group (UK) Ltd in relation to an application to the High Court for directions on the proper administration of the IMG Pension Plan following the conversion of the pension scheme from defined benefit to defined contribution and related claims against former advisers.
Push Button
Advising the co-owners of interactive digital design and build agency Push Button on the sale of Push Button to Amazon.com.
Sit-up
Advising Sit-up’s shareholders on the sale of Sit-up TV to Telewest for £194.1m.
Tarsus Group plc
Advising Tarsus in its re-domiciliation from the UK to Ireland and, more recently, in relation to its acquisition of a majority shareholding in IFO, a Turkish exhibition business and the related placing of shares to raise approximately £16m.
The Engine Group
Advised The Engine Group on the investment of up to £60m by H.I.G. Capital, a US based private equity investor and a number of subsequent acquisitions including most recently the acquisition of Mischief PR.
The Marketing Store Worldwide
Advising The Marketing Store Worldwide in relation to a number of global arrangements, including in relation to agency/client contracts as well as creating a global framework arrangement for games and related promotions for a high-profile multinational.
Virgin
Acting for Virgin in successfully opposing BSkyB’s acquisition of a 17.9 per cent stake in ITV, and being instrumental in securing the first ever “media public interest intervention notice” from the Secretary of State. BSkyB has been forced to reduce its stake to below 7.5 per cent at a significant loss.
